The Indiana Supreme Court Committee on Rules of Practice and Procedure is seeking public comment on proposed amendments to Trial Rule 9.2 and Trial Rule 32.

The pandemic—and shift to remote work—is speeding up a shift that has been years in the making.

With a global pandemic and resulting economic fallout now posing an existential threat to many small businesses, the changes brought on by the SBRA, and recently enhanced under the Coronavirus Aid, Relief and Economic Security (CARES) Act, could not have arrived at a more opportune time, and are now available to provide small business owners the ability to restructure their debts while saving their businesses and many jobs.

The IndyBar exists to serve members of the legal profession, and through our members we serve the community. Lawyers are problem-solvers, defenders of the rule of law. We spend our days seeking to improve the lives of our clients and our communities. We have an opportunity and a privilege to help. 

With uncertainty as to when the pandemic will ease, bankruptcy courts do not seem to be a panacea leading to successful reorganizations or orderly liquidations for troubled companies.

Indiana Legal Services, Prosperity Indiana, the Neighborhood Christian Legal Clinic and the Indiana Institute for Working Families (collectively, ILS) recently filed a petition asking the Indiana Supreme Court to engage in emergency rulemaking “to protect Cares Act stimulus payments from attachment or garnishment by creditors.”

In response to COVID-19, the U.S. Bankruptcy Court for the Southern District of Indiana has made changes to its operations. Those changes are described in the General Orders and Other Information and Meetings of Creditors Information, which can be found on the Court’s website.

On March 2, 2020, in New Nello Operating Co., LLC v. CompressAir, the Indiana Court of Appeals expanded the so-called “de facto merger” exception to the general rule that when one corporation purchases the assets of another, the buyer does not assume the debts and liabilities of the seller, holding that a lack of continuity of ownership between the seller and the buyer, and the failure to dissolve the seller corporation, are not fatal to a finding of a de facto merger – and thus upholding the buyer’s liability for a judgment rendered against the seller.

I am hopeful that something good can and will emerge from our shared ordeal  It is with this in mind that I’m excited to announce a new social media campaign started by the Women and the Law Division Executive Committee – Find the Good. The goal of this campaign is to highlight IndyBar members who are finding good in life during this extraordinary time.
