Summary

Earlier this year, Governor Eric Holcomb signed into law amendments to the Indiana Uniform Commercial Code (UCC) addressing a limited set of transactions involving certain types of digital assets. The amendments revise Article 9 (Secured Transactions) and add an entirely new Article 11 (Controllable Electronic Records). The amendments take effect July 1, 2022, and additional amendments are expected in 2023. The new Indiana provisions respond to market concerns about the lack of commercial law rules for digital assets, especially relating to negotiability for cryptocurrency and certain electronic payment rights and the difficulties of secured lending against digital assets. This presentation is geared toward lawyers whose practices encompass transactions or litigation involving issues arising under all articles of the UCC, not just Article 9 or the new Article 11.
