In every transaction, there is an inherent conflict between a seller’s and a buyer’s respective desires to retain as much of the purchase price as possible and to allow recovery for liabilities that impact a business after the closing. This program focuses on the parties’ options to resolve that inherent conflict, including the nature of the indemnification, limitations on indemnification and provisions that dictate the rights each party will have in the event of an actual indemnification claim. In addition, a review of a number of actual indemnification claims to highlight how the words in an indemnification provision may translate into real-world situations.
