Majority owners of Indiana entities can typically rely on their voting power to control management and operations. However, Indiana law applies fiduciary duties that even the strongest majority owner must adhere to in order to protect those entities and their other owners. This program discusses these duties, examples of conduct gone too far and negotiation recommendations when these duties should be limited or eliminated altogether.
