Private placements and other unregistered offerings have become an increasingly popular source of capital for private companies. They are subject to a complex set of regulations issued by the SEC and state securities commissions. A thorough understanding of these regulations is crucial for anyone involved in corporate finance transactions. This seminar provides an overview of the process of conducting a private placement of securities pursuant to Regulation D. Topics of discussion include due diligence by counsel, preparation of the offering documents, working with brokers and escrow agents, and closing the transaction. Also discussed are regulatory reforms related to private placements, including the Dodd-Frank Wall Street Reform and Consumer Protection Act and the Jumpstart Our Business Startups Act.
