Private Placements
Continuing Legal Education
This seminar provides an overview of the process of conducting a private placement of securities pursuant to Regulation D. Topics of discussion include due diligence by counsel, preparation of the offering documents, working with brokers and escrow agents and closing the transaction. Also discussed are regulatory reforms related to private placements including the Dodd-Frank Act and the Jobs Act.
The program is especially helpful to attorneys who do not routinely practice securities law but are periodically asked by clients to assist with raising capital through private placements of securities.
