Modern Capital Raising Techniques: Practical Uses of General Solicitation & Crowdfunding

In 2013, the Securities and Exchange Commission adopted rules under the Jumpstart Our Business Startups (JOBS) Act permitting the general solicitation and advertising of securities offerings by private companies and proposed rules for the use of crowdfunding as a capital raising tool.  In addition, in 2014, Indiana passed a new law permitting, for the first time, intrastate crowdfunding of securities offerings. This seminar will focus on the practical strategies issuers have been using to take advantage of these novel capital raising techniques, how a company can generally advertise an offering in compliance with the SEC's rules and the landscape for further rulemaking in this area by the SEC and Indiana Securities Commission.
